Terms of Service

Introduction

From the Morgen team, thanks for using Kai. These Terms of Service regulate the use of our services. While in an ideal world these terms would not be necessary, we are not there yet. Please take a few minutes to read through this document to make sure you understand what we offer.

When we say “Company”, “we”, “our”, or “us”, we mean Morgen AG, a Swiss-based company registered with the UID CHE-216.439.443. When we say “Services”, we mean Kai and any related product, website, app, feature, tool, or service created and maintained by Morgen AG. This includes the Kai web app, desktop app, website, waitlist, demo chat, free tools, booking pages, public meeting-share pages, and Slack bot where available.

When we say “you” or “your”, we mean the people or organizations that own an account with the Services, or the people or organizations that use the Services without an account.

When you use the Services, now or in the future, you agree to the latest Terms of Service and Privacy Policy. These terms are here to make clear what you can expect from Kai, what we need from you, and how we keep the Services useful and safe for everyone.

Account Terms

Your access to the Services is licensed and not sold. Subject to these terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable account enabling you to access and use the Services.

  • You are responsible for maintaining the security of your account, your email account, and any credentials used to access the Services.
  • You are responsible for all content posted and activity that occurs under your account, including activity by users you invite or authorize.
  • You must be a human. Accounts registered by bots or other automated methods are not permitted unless we give written permission.
  • You must be at least 16 years old, or older if your local law requires a higher age to use online services.
  • Please treat Morgen employees, contractors, and representatives with respect. Abuse, threats, harassment, or retaliation may lead us to limit or end access to the Services.

AI Features

Kai is an AI-powered executive assistant. It uses large language models, or LLMs, and other AI systems to help with calendar, email, meetings, tasks, planning, triage, and related workflows. AI features may be available in the Kai app, website demo, Slack bot, free tools, or other surfaces.

Kai is designed to help you move faster, but you stay in control. Like all AI systems, Kai can make mistakes or produce incomplete, unexpected, or unsuitable output. Please review AI output before relying on it, sending it, publishing it, sharing it, or using it to make decisions.

Kai may assist with actions in connected services, including creating or editing calendar events, drafting emails, sending emails after your approval, creating tasks, summarizing meetings, and processing Slack threads where available. You choose what to connect, what to ask Kai to do, and what results to approve or use.

Do not rely on AI features as a substitute for medical, legal, financial, or other professional advice. You should not use Kai where errors could result in significant harm, including irreversible or large-scale changes, without independently reviewing and confirming the result.

AI-generated outputs are provided “as is” and may not be unique. Similar or identical outputs may be generated for other users. We may modify, limit, suspend, or discontinue AI features, in whole or in part, at any time.

Connected Services

Kai can connect to third-party services such as Google Calendar, Gmail, Outlook / Microsoft 365 Calendar, Outlook email, Zoom, and Slack where available. You authorize those connections through the provider's own authorization flow. You are responsible for making sure you have the right to connect each account and process the data made available through it.

Third-party services are not controlled by Morgen AG. Their availability, permissions, APIs, rate limits, outages, data handling, and terms may affect Kai. We are not responsible for third-party services or for changes they make.

If you disconnect an account, Kai will stop using that connection, but data already processed or stored by Kai may remain in the Services until deleted according to our Privacy Policy.

Meetings and Recordings

Kai includes meeting recording and transcription features. You are responsible for complying with all laws, workplace policies, and participant expectations that apply to recording, transcribing, or summarizing a meeting.

Before recording a meeting or using transcription, you must obtain any consent required from meeting participants. Kai may show consent reminders, but those reminders do not replace your own legal obligations.

Meeting transcripts, summaries, action items, and public share links may contain sensitive information. You are responsible for reviewing what you share and for controlling access to public meeting links.

Acceptable Use

To keep Kai safe, reliable, and useful, you agree not to use the Services to:

  • Break the law, violate another person's rights, or process data you do not have the right to use.
  • Spam, phish, impersonate others, misrepresent your identity, or deceive people about whether content or communication is AI-generated.
  • Harass, abuse, threaten, discriminate against, or coordinate harm against any person or group.
  • Abuse, threaten, harass, or use hateful or discriminatory language toward Morgen support personnel or other Morgen representatives.
  • Provide or seek medical, legal, financial, or other professional advice.
  • Create, request, or distribute malware, exploit code, credential theft, or instructions intended to compromise systems or people.
  • Probe, scrape, overload, reverse engineer, bypass, or interfere with the Services, their limits, authentication, safety systems, or access controls.
  • Use the Services for high-risk decisions without appropriate human review, including decisions about healthcare, legal rights, finance, employment, housing, or other areas where errors could seriously affect someone.
  • Use unauthorized automation to create accounts, bypass intended product flows, or access the Services outside approved interfaces such as our API or MCP integrations.

If we believe an account is being used in a way that could harm users, Morgen, our team, third-party services, or the Services themselves, we may limit, suspend, or terminate access as needed.

Payments, Refunds, and Plan Changes

If you are using a free version of the Services, we do not ask for your credit card. As with customers who pay for the Services, we do not sell your data and never will.

For paid Services that offer a free trial, we explain the length of the trial when you sign up. After the trial period, you need to pay in advance to keep using the paid Service or paid features. If you do not pay, we may freeze, limit, or downgrade your account or features.

Payments are processed by our payment partners, such as Stripe. When you make a purchase, you agree to share with the payment provider the information necessary to process payment, invoices, taxes, fraud checks, and subscription management.

We may change pricing or packaging from time to time. If we change prices for existing paid customers, we will give at least 30 days notice using the email address on record or an in-product notice.

Cancellation and Termination

You can cancel your account or downgrade to a free plan, if available, at any time by using the corresponding functionality within the Services or by contacting us through our contact page.

If you cancel before the end of your current paid billing period, your cancellation will take effect according to the cancellation flow shown in the Services. Unless required by law or stated in a separate refund policy, we do not automatically prorate unused time in the last billing cycle.

Access to the Services and to content stored in the Services may become inaccessible after cancellation or termination. Data that was synchronized with third-party services, such as events in your calendar provider or emails in your mailbox, may remain available through those third-party services.

We may suspend or terminate your account and refuse current or future use of the Services when needed to protect Kai, users, our team, third-party services, or to comply with the law. Examples include abuse, security risk, non-payment, or violation of these terms. Termination may result in deletion of your account, access, and content stored in the Services.

Changes to the Services

We reserve the right to modify, limit, suspend, or discontinue, temporarily or permanently, any part of the Services. Kai is evolving, and features, pricing, integrations, AI models, limits, and availability may change. When a material change affects active users, we will take reasonable steps to communicate it.

We may update these Terms of Service in the future. Whenever we make a significant change, we will take reasonable steps to notify active users, for example by email or in-product notice. Your continued use of the Services after a change means you agree to the updated terms.

Uptime, Security, and Privacy

We provide the Services on an “as is” and “as available” basis. We do not offer service-level agreements for the Services at this time, although we take uptime, reliability, security, and privacy seriously.

We take measures to protect and secure your data. We minimize data transfer where reasonably possible, use secure communication protocols, enforce encryption in transit, and use safeguards such as access controls, monitoring, backups, and redundancy.

You agree that Morgen AG may process your data as described in our Privacy Policy. We use third-party vendors and hosting partners to provide the hardware, software, networking, storage, AI systems, and related technology required to run the Services. Subprocessors are described in the Privacy Policy.

Copyright and Content Ownership

The names, look, and feel of the Services, including images, photographs, animations, video, text, design, code, and brand elements incorporated into the Services, are owned by Morgen AG or its licensors. All rights are reserved.

You may not duplicate, copy, reuse, reverse engineer, decompile, disassemble, modify, reproduce, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without our express written permission.

You retain ownership of content you provide to the Services, subject to the rights we need to operate, secure, and improve the Services. You grant Morgen AG a license to process, transmit, display, modify, and store that content as needed to provide the Services and as described in the Privacy Policy.

Feedback, feature requests, ideas, and suggestions you share with us may be used by Morgen AG without restriction or compensation. We may use them to develop, commercialize, promote, or improve the Services.

AI-generated content is generated automatically based on user instructions and available context. Morgen AG does not claim ownership over AI-generated content, but we make no representations or warranties regarding its originality, correctness, completeness, or suitability for any particular purpose. You remain responsible for reviewing and using any AI-generated content.

Features and Bugs

We design the Services with care, based on our own experience and the experience of customers who share their time and feedback. Still, there is no such thing as a service that pleases everyone. We make no guarantee that the Services will meet your specific requirements or expectations.

As with any software, the Services may contain bugs. We track bugs reported to us and prioritize issues related to security, privacy, data integrity, and critical product behavior. We do not guarantee that every bug will be fixed or that the Services will be completely error-free.

Liability

You expressly understand and agree that, to the maximum extent permitted by law, Morgen AG shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses.

This limitation applies to damages resulting from use of the Services, inability to use the Services, AI outputs or actions, unauthorized access to or alteration of your data, third-party services, statements or conduct of any third party, or any other matter relating to these Terms of Service or the Services, whether based on contract, tort, negligence, strict liability, or any other legal theory.

Put more simply, choosing our Services comes with no guarantee. If something does not work as you expect, please let us know and we will try our best to fix the issue. We cannot guarantee that we will be able to do so, and we should not be considered liable for that failure where the law allows this limitation.

Governing Law

These terms are governed by Swiss law, without regard to conflict of law rules. Disputes shall be subject to the exclusive jurisdiction of the courts of Zürich, Switzerland, unless mandatory law provides otherwise.
